Terms of Service
Published 30 October 2026
Effective date: the date of publication of this document on the Website.
These Terms govern the use of the website axonsl.com ("Website") and the provision of services by Axon System Lab, a sole proprietorship registered in the Kingdom of Cambodia, owner Artur Petriman, Phnom Penh, Kingdom of Cambodia ("Studio", "we"). By using the Website or ordering services, you ("Client", "you") agree to these Terms.
1. Key terms
- Services — development of websites and applications (PWAs, mini apps in messengers, mobile apps), setup of AI assistants, integration with CRMs, payment gateways and calendars, delivery of the CLIENTS client acquisition programme, technical maintenance and other Studio services.
- Offer — an individual commercial proposal, estimate, technical specification, invoice or contract sent by the Studio to the Client that sets out the scope of work, price and deadlines.
- Project — the set of results of intellectual activity and technical solutions created for the Client under an Offer.
- Third-Party Services — domain registrars, hosting providers, language model providers, payment systems, messengers and app stores not owned by the Studio.
2. Client status and order of precedence
2.1.The Services are intended for qualified professionals (psychologists, coaches, consultants, experts) and organisations acting for professional or business purposes. By placing an order, you confirm that you are at least 18 years old and authorised to enter into a contract.
2.2.In case of discrepancies, documents apply in the following order of precedence:
1) an individual contract or Offer agreed by the Parties;
2) these Terms, the Refund & Cancellation Policy and the Privacy Policy;
3) reference information on the Website.
2.3.Website materials and replies of the online assistant are for information only and do not constitute a public offer. Obligations arise only after an individual Offer is agreed.
3. Conclusion of a contract
3.1.Based on your request, we prepare an Offer setting out the scope of work, price, deadlines and payment schedule.
3.2.A contract is concluded when the Client accepts the Offer in writing by email or in a messenger, or when the first invoice is paid.
3.3.Electronic documents, messages and confirmations are legally binding and equivalent to paper documents in accordance with the Law on Electronic Commerce of the Kingdom of Cambodia (2019).
4. Prices and payment
4.1.All prices are set and paid in US dollars (USD). The price of packages and custom development is fixed in the Offer. Localisation of a project into each additional language costs +20% of the base development price, provided the Client supplies a ready translation.
4.2.Standard payment terms (unless the Offer states otherwise): START and CLIENTS packages — 100% prepayment; EXPERT and SIGNATURE packages — 50% prepayment before work starts and 50% after acceptance of the final stage, before the Project is published and root access is handed over.
4.3.Payment is made by bank card through an integrated payment gateway or by another agreed method. Bank card details are processed solely by a certified payment provider. All bank fees, currency conversion costs and taxes in the Client's jurisdiction are borne by the Client.
4.4.If a payment is overdue, the Studio may suspend work with a proportionate shift of deadlines and, if the delay exceeds 14 calendar days, terminate the contract unilaterally.
5. Client obligations and Project suspension
5.1.The Client shall:
- provide source materials (texts, media files, translations, technical access) on time and approve interim stages within 2 business days;
- guarantee that it holds the intellectual property rights to the materials provided;
- ensure that its professional activity, offers and the data it collects comply with applicable law and professional ethics;
- publish its own legal documents (privacy policy, user agreement) on its resources and obtain the necessary consents from its clients.
5.2.If there is no feedback or materials from the Client for more than 30 calendar days, the Project is paused and deadlines are revised upon resumption. If the delay exceeds 60 calendar days, the Project is closed as cancelled by the Client, with settlement under the Refund & Cancellation Policy.
6. Delivery, acceptance and revisions
6.1.Work is performed and delivered in stages under the Offer. Each stage includes up to 2 rounds of revisions within the approved technical specification, unless the Offer provides otherwise. A round is a single consolidated list of comments sent by the Client within 5 business days of the stage being delivered.
6.2.A stage is deemed fully accepted if the Client confirms acceptance in writing, starts actual commercial use of the result, or does not send reasoned comments within 5 business days of the stage being delivered (tacit acceptance).
6.3.The Studio's technical errors are fixed free of charge and do not count towards the revision limit. Requests beyond the original technical specification (new functionality, rework of the approved structure or redesign), as well as additional rounds of revisions, are estimated and paid under a separate estimate.
7. Third-Party Services and AI solutions
7.1.Third-Party Services (domains, hosting, language model APIs, external subscriptions) are paid by the Client separately. The CLIENTS programme is provided on an "all inclusive" basis.
7.2.The Studio does not control Third-Party Services and is not liable for changes to their prices or rules, technical failures or moderation decisions. Amounts paid to Third-Party Services are non-refundable.
7.3.Integrated AI assistants run on language models of third-party providers, generate replies automatically and are solely an information and reference tool. The Client is responsible for the content of the knowledge base, the accurate representation of its services, informing users that they are interacting with AI, and preventing the assistant from being used for diagnosis, treatment or emergency assistance.
8. CLIENTS client acquisition programme
8.1.The price of the CLIENTS programme is USD 1,000 ("all inclusive"). The programme is intended for professionals whose main service costs from USD 50 and who are ready to hold free introductory consultations.
8.2.Consultation slot quotas, the method for calculating targets and refund conditions are governed by Section 5 of the Refund & Cancellation Policy and by the individual CLIENTS contract, which prevails over these Terms.
9. Technical support and maintenance
9.1.The development price includes 30 calendar days of warranty support after launch (fixing identified errors and basic advice, without developing new functionality).
9.2.Monthly maintenance by subscription (100% prepayment for the billing month):
- START — USD 100/month (website and AI module monitoring, knowledge base updates, up to 2 hours of minor changes);
- EXPERT — USD 200/month (support of the website, AI modules in two channels and integrations, up to 4 hours of changes);
- SIGNATURE — from USD 350/month;
- apps and custom systems — priced individually.
9.3.Unused hours do not roll over to the next month. The subscription may be cancelled at any time, effective from the next billing period. The Studio gives at least 30 calendar days' notice of price changes.
10. Intellectual property and confidentiality
10.1.After 100% payment for the Project, the exclusive rights and administrative access to the results created specifically for the Client's Project (custom design, texts, custom code) pass to the Client. Until full payment, all rights remain with the Studio.
10.2.Rights to base software libraries, templates, architectural solutions and internal tools remain with the Studio; the Client receives a perpetual non-exclusive licence to use them as part of the Project.
10.3.The client acquisition method, scripts and instructions of the CLIENTS programme are the Studio's protected know-how and may not be copied or transferred to third parties; the client acquisition method is not disclosed to the Client.
10.4.The Studio may present the Project in its portfolio without disclosing confidential commercial data, unless the Client prohibits this in writing before the work is completed.
10.5.The Parties shall keep confidential any non-public commercial and technical information received from each other in the course of cooperation.
11. Limitation of liability and termination
11.1.Except for the guarantee expressly set out for the CLIENTS programme, the Studio does not guarantee specific financial results, conversions or search rankings. Services and software are provided "as is" within the agreed technical specification.
11.2.The Studio is not liable for indirect losses, lost profits or reputational damage. The Studio's total liability for any claim is limited to the amount actually paid by the Client for the relevant Service over the last 12 months.
11.3.Unilateral cancellation of services and refund calculations are governed by the Refund & Cancellation Policy. The Studio may immediately suspend work or terminate the contract in the event of a material breach of these Terms by the Client, a payment delay of more than 14 days, unlawful use of the deliverables or unethical behaviour towards the Studio's team.
11.4.The Parties are released from liability in the event of force majeure beyond their reasonable control, provided the other Party is notified without delay.
12. Website rules, governing law and disputes
12.1.Any attempt at unauthorised access to the Website infrastructure, automated data collection (scraping), circumvention of security systems and copying of Website materials without the Studio's written consent is prohibited.
12.2.These Terms and all contracts with the Studio are governed by the law of the Kingdom of Cambodia. The mandatory pre-trial settlement period for a written claim is 30 calendar days.
12.3.Unresolved disputes shall be finally settled by arbitration at the National Commercial Arbitration Centre of Cambodia (NCAC) under its Rules (seat of arbitration — Phnom Penh, Kingdom of Cambodia; language — English; one arbitrator). Applying to the state courts of Phnom Penh for interim measures is not a waiver of the arbitration agreement. This section applies to the maximum extent permitted by mandatory rules of applicable law.
12.4.The original of these Terms is the English version, which prevails in case of any discrepancy. Contacts: legal@axonsl.com, support@axonsl.com, Telegram: https://t.me/axonslbot.
